1. Agreement to Terms

These Terms govern your use of matrixinnsolutions.com and any services provided by MatrixInn Solutions (“we,” “us,” or “our”). By accessing our website, submitting a project inquiry, or engaging our services, you agree to be bound by these Terms.

2. Services

MatrixInn Solutions provides professional digital services including:

• Web Design & Development
• Search Engine Optimization (SEO)
• Social Media Marketing
• AI Automation & Chatbot Development
• Mobile App Development
• SaaS & Web Application Development
• Browser Extension Development
• Shopify & WordPress Plugin Development

The specific scope, deliverables, timelines, and pricing for each project are defined in a separate Project Agreement or Statement of Work (SOW) provided before work begins.

3. Payment Terms

Deposit

A deposit of 50% of the total project cost is required before work begins, unless otherwise agreed.

Final Payment

The remaining balance is due upon project completion, before final delivery or website launch.

Ongoing Services

For retainer-based services (SEO, social media, maintenance), invoices are issued monthly and due within 7 days.

Late Payments

Overdue payments may result in work being paused. We reserve the right to charge a late fee of 2% per month on overdue invoices.

4. Revisions & Change Requests

Each project includes a defined number of revision rounds as specified in the project agreement. Requests outside the agreed scope will be quoted separately.

5. Timelines & Delays

Timelines may be affected if the client delays in providing content, feedback, or approvals; if scope changes; or due to force majeure. We will notify you promptly of any delays on our end.

6. Client Responsibilities

• Provide all required content, branding assets, and credentials on time
• Review and provide feedback within agreed timeframes
• Designate a single point of contact for communications
• Ensure provided materials do not infringe third-party rights

7. Intellectual Property & Ownership

Deliverables

Upon receipt of full payment, ownership of final deliverables transfers to the client. We retain the right to display the work in our portfolio unless requested otherwise in writing.

Third-Party Assets

Licensing for stock photos, fonts, plugins, or themes is the client’s responsibility unless explicitly included in the project scope.

8. Cancellations & Refunds

Client-initiated cancellation: The deposit is non-refundable after work has begun. Payment for completed work beyond the deposit amount is also due.

MatrixInn-initiated cancellation: If we are unable to complete a project, a pro-rated refund for undelivered work will be issued. If no work has commenced, a full refund of the deposit will be given.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This obligation survives termination of the project.

10. Disclaimer of Warranties

Our services are provided “as is” to the best of our professional ability. We do not guarantee specific business outcomes such as increases in traffic, leads, or revenue. SEO and marketing results depend on many factors outside our control.

11. Limitation of Liability

MatrixInn Solutions shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the total amount paid by the client in the 3 months preceding the claim.

12. Governing Law

Any disputes arising under these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration or the appropriate court.

13. Changes to These Terms

We may update these Terms at any time. The updated date at the top of this page reflects the most recent revision. Continued use of our services constitutes acceptance.

1. About These Terms

These Terms govern your use of the WhatsApp Floating Button Shopify application (“App”) provided by MatrixInn Solutions. Installing or using the App constitutes acceptance. If you do not agree, please do not install or use the App.

2. Description of Service

WhatsApp Floating Button adds a floating button to your Shopify storefront that lets customers open a WhatsApp conversation with you in one tap. Settings are managed via the App dashboard in your Shopify admin.

3. Eligibility

To use the App you must:

• Operate an active Shopify store
• Have a valid WhatsApp number or WhatsApp Business account
• Comply with Shopify’s Terms of Service
• Comply with WhatsApp’s Terms of Service and Commerce Policy
• Be of legal age to form a binding contract in your jurisdiction

4. Plans and Billing

Free Plan

Provided at $0/month. Includes the core WhatsApp button with pre-filled message, fixed green styling, and MatrixInn branding. We may modify the Free plan with reasonable notice.

Starter Plan — $2.99/month

Billed monthly through Shopify’s billing system. Unlocks custom button color, left/right positioning, mobile/desktop visibility controls, and removes MatrixInn branding.

Cancellation

You may cancel at any time from the App’s Plan page. Upon cancellation, the App reverts to the Free plan. Prorated credits may apply per Shopify’s policy.

Refunds

Refund requests are handled through Shopify’s App Store support process. We will cooperate with legitimate requests at our reasonable discretion.

5. Acceptable Use

You agree not to use the App to:

• Send unsolicited commercial messages or spam
• Violate any applicable law or regulation
• Infringe the intellectual property rights of any party
• Harass, abuse, threaten, or deceive any person
• Circumvent security controls or rate limits
• Damage our infrastructure or reputation

We reserve the right to suspend or terminate access for violations at our sole discretion.

6. WhatsApp Compliance

You are solely responsible for ensuring your WhatsApp usage complies with WhatsApp’s Terms of Service, Business Policy, and Commerce Policy. MatrixInn Solutions is not affiliated with Meta Platforms, Inc. or WhatsApp Inc. The WhatsApp name and logo are trademarks of their respective owners.

7. Intellectual Property

The App and all its components are owned by MatrixInn Solutions and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the App solely for operating your Shopify store. You retain ownership of all content you enter into the App.

8. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind. We do not warrant that the App will be uninterrupted, error-free, or compatible with all future versions of Shopify or WhatsApp.

9. Limitation of Liability

To the maximum extent permitted by law, MatrixInn Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.

We may update these Terms from time to time. We will update the date at the top of Part 2 and, where material, notify you via the Shopify admin. Continued use after changes constitutes acceptance.
